This concerns especially companies in Retail (for example H&M), Logistics (for example UPS Germany) as well as the Finance and Insurance sector. Hans Böckler Stiftung recently published a report on Germany based companies who choose non-german legal forms. This is possible due to the European Court of Justice’s jurisdiction. Those companies are thus not obliged to apply the Co-Determination legislation of 1976 which includes board level representation. Hans Böckler Stiftung’s legal experts point out that an additional law to extend co-determination rights would be in line with European law and guarantee co-determination rights for all companies based in Germany.
